Governance
We ask zones to keep a public record of their rules. We keep one of our own.
Mercatoria DAO LLC is a Wyoming decentralized autonomous organization. Its decisions are written, numbered and sealed on a public blockchain.
A Wyoming limited liability company, organized as a DAO.
Wyoming law lets a limited liability company organize as a decentralized autonomous organization, with the smart contracts that help manage it publicly identified in its articles. Mercatoria is organized under that law.
The company is member-managed. Its governing contract is a multisignature account that executes nothing without two of three authorized signatures.

Merchants sealed their charters in wax. We seal ours with a hash.
A hash is a fingerprint of a text. The same text always gives the same fingerprint, and a change of one character gives a different one. Paste a resolution you were given and the hash we published, and check them yourself.

How a decision becomes part of the record.
Written resolution
Each decision is drafted as a numbered resolution, stating the decision, the authority for it and the reasons.
Fingerprint
The final text is reduced to its hash. The text stays private; the hash proves exactly what was decided.
Attestation
The governing contract attests the hash on-chain with the required signatures. Time and content are then fixed.
Verification
Anyone given the text, a client or a counterparty, can hash it and confirm it matches the record.
Work is carried out by partners under written mandates.
Engagements are led by Mercatoria's partners and team members, each acting under a written mandate that sets its scope, limits and duration. Regional work is led by local operating partners who know the place.
No partner can commit the firm beyond its mandate, and no partner can move funds alone.
Verify a resolution that concerns you.
Counterparties may request the text of a resolution that affects them and check it against the public record.
